Abstract. This article examines the issues of improving the activities of investment funds, which play an important role in the development of the stock market. In the implementation of the activities of investment funds, the legal norms related to the organization and management of investment funds were studied, and the requirements of the legislation of the United States of America, Luxembourg and the Republic of Kazakhstan were considered. In the world, special attention is being paid to the effective legal regulation of the activities of investment funds, researching the characteristics of new innovative forms of investment funds in the digital economy, wider involvement of the population in investment processes, and scientific analyzes on the reliable protection of the rights and legal interests of investors. In particular, in order to determine the position of investment funds in the financial services market system and distinguish them from other financial intermediaries, systematize and improve the regulatory legal framework in order to determine their civil-legal status, adapt national legislation to international standards, and relate to legislation and law enforcement practice. It is becoming urgent to find a scientific solution to these problems. Investment funds are unable to contribute to the economic development of our country. This situation is closely related to the underdevelopment of the stock market in our country. It is also possible to see the clear dominance of commercial banks in the national financial services market. This reduces the possibility of financing the business in alternative ways. A number of targeted measures are being implemented in our republic to further improve the business and business environment, to create the legal basis of the securities market, to widely attract free funds of the population to economic sectors, to reliably protect the rights and legal interests of shareholders. In particular, the development of collective investment institutions, facilitating the access of private companies to the stock market, encouraging venture investment, “developing the stock market as an alternative source for attracting capital and deploying the free resources of enterprises, financial institutions and the population” is one of the priority directions of economic development and liberalization. defined as indicates the need to research this area.        Keywords: stock market, investment, investment funds, founder, shareholder, contractual funds, shares.
